2. Scope

    These HYPERX Terms and Conditions (the " Terms ") apply to any order placed by a consumer with HyperX online or by telephone for products and services on the HyperX Store website (the " HyperX Store "). Before placing an order, you should therefore carefully read the following terms and conditions. The version of our Terms and Conditions in effect at the time of your order will prevail. If you do not agree to these Terms and Conditions, please do not order any products or services from this website.

    These terms and conditions apply only to consumers. A consumer is any natural person who concludes a contract for a purpose that cannot be attributed to either their commercial or their independent professional activity (Section 13 of the German Civil Code).

    3. Prices, taxes and delivery costs

    Prices, delivery costs, and payment terms are as stated in the HYPERX store at the time of your order. HYPERX may offer limited-time discounts.

    Delivery is free for all orders.

    HYPERX's prices may include any applicable taxes, duties, levies, or similar charges, such as applicable value-added taxes ("VAT"), copyright, and/or environmental levies. HYPERX does not currently offer a VAT refund system for non-residents.

    Before submitting your order, you have the opportunity to review product prices and any applicable VAT and delivery charges. Please notify HYPERX immediately if you believe your order contains a pricing error.

    HYPERX reserves the right to change the information, products, and/or prices published in the HYPERX store at any time. However, these changes will not affect orders for which you have already received an order acceptance confirmation.

    4. Invoicing and payment methods

      Invoices can be sent by email in PDF format to the email address provided when ordering or by post in paper form (you must select this option when ordering).

      5. Orders

        The presentation of goods and services on our website does not constitute a binding offer, but merely an invitation to place an order.

        Your order constitutes a binding offer to enter into a contract with us. Once an order has been placed, it cannot be changed except as described in these Terms. Changes to the delivery address are generally possible without canceling and replacing the order, but are subject to scheduling and security clearance.         HYPERX reserves the right to review your order. In the event of any irregularities or discrepancies in your order, or if your order fails our payment and fraud prevention checks, HYPERX may reject your order. Your order will be processed by HYPERX once it has been confirmed by HYPERX.

        HYPERX will send you an order confirmation or rejection notice as soon as possible. The order confirmation does not constitute acceptance of your order, but merely informs you that we have received your order.

        The purchase contract between you and HYPERX is only concluded when we send you the order acceptance confirmation.

        If and to the extent permitted by applicable law, we may use the personal information you provide to us to conduct appropriate payment and fraud prevention checks. The personal information you provide may be checked against a credit reference or fraud prevention agency, which may maintain such information.

        6. If we cannot fulfill your order

          Despite our best efforts, in rare cases, we may not be able to fulfill your order for a product (whether or not payment has been made) if we become aware of something after we have sent you an order acceptance confirmation by email. In this case, we will either contact you as soon as possible, but no later than the scheduled delivery date, to request instructions or reject your order and notify you of the cancellation. We may not be able to fulfill your order because:

          • we have discovered an obvious and unmistakable error in the price or description of the product;
          • your delivery address is outside the delivery areas specified by us; information on this can be found under: Delivery Information; or
          • Your transaction is declined by your bank, you do not pay in accordance with the terms and conditions of your chosen payment method, or we have reasonable grounds to suspect that the order was placed fraudulently.

          If payment has been made and your order is cancelled, HYPERX will issue a full refund within 14 days using the same method you used for payment (or contact you to obtain relevant information).

          7. Your right to cancel your order before dispatch

            We pride ourselves on our fast turnaround time. However, this means there's only a small window of opportunity to cancel your order before it ships. While we'll do our best to help you, we cannot guarantee that we'll be able to cancel your order in time.

            If you would like to cancel your order before it is dispatched, the quickest way to process your request is through the "Track My Order" page. Alternatively, you can email our postal sales team at shopeurope@hyperx.com or complete and return the Cancellation Form.

            If you cancel your order before it is shipped, HYPERX will refund all payments made by you, including delivery costs (if applicable), within 14 days.

            8. Delivery

              Delivery will be as stated in the HYPERX Store and as determined by you when ordering online or by phone.

              We only ship to addresses within mainland Germany. Deliveries to PO boxes and Packstations are not possible. Delivery will take place within 48 hours of receipt of payment if the order is received before 2 p.m. and the item is in stock. If the ordered item is not in stock, the estimated availability will be indicated and a notification will be sent as soon as the item is ready for shipment.

              If our supply of the Products is delayed by an event beyond our reasonable control, we will contact you as soon as possible to let you know and we will take steps to minimize the effect of the delay. Provided we do this, we will not be liable for any delay caused by the event, but if there is a risk of significant delay, you may contact us to end the contract (see clause 7 above ) and receive a full refund for any Products you have paid for but not received.

              For products that are not immediately available from stock, an estimated delivery time will be provided next to the product description. If you order a product that is not immediately available from stock, either: (i) your order acceptance confirmation will indicate the estimated delivery date; or (ii) if an estimated delivery date is not yet available, we will send you an email with the estimated delivery date once the product is available and ready to ship. If an item in a "group order" has a longer delivery time, we reserve the right to hold your order until we can deliver all items. If you wish to order a similar item that is in stock or cancel an item with limited availability within a group order, you will need to cancel the item in your original order and place another order separately.

              9. Ownership and transfer of risk

                Ownership of the hardware products passes to you upon full payment and delivery of the products. Risk of loss and damage passes to you upon delivery.

                10. Your right to change your mind after dispatch

                  Legal Right of Withdrawal : As a consumer, you can change your mind and cancel your purchase at any time without giving any reason within 14 calendar days of complete delivery of your order if you have handled and examined your HYPERX product to verify its quality, characteristics, and functionality ( as you would in a store ) and you are not 100% satisfied. Personalized orders (according to your specifications) where the packaging seal has been broken are excluded.

                  Defective goods : You can only return used products if they are defective under certain conditions – see Section 13 (Defects on delivery) and Section 15 (Returning defective goods (warranty rights)) below.

                  To exercise your right of withdrawal, you must notify HYPERX and return all goods delivered to HYPERX in accordance with the return procedure described below.

                  11. Return process

                    Return to HYPERX : Contact HYPERX as described here: Consumer's Right of Withdrawal/Cancellation.

                    Then return your products according to the process described here: Consumer's Right of Withdrawal/Cancellation . You must return the goods promptly and in any event no later than 14 days after the day on which you notify HYPERX of your decision to withdraw from this contract.

                    To exercise your statutory right of withdrawal, you can alternatively fill out and return the sample withdrawal form , although this is not mandatory.

                    12. Effects of cancellation/withdrawal

                      If you cancel your purchase within the time limits set out in Section 10 (Your right to change your mind after dispatch), you will receive a full refund, including delivery costs (if applicable), within 14 days of the date of cancellation, except as set out below. We will process the refund using the same means of payment you used for the original transaction, unless you have expressly agreed otherwise.

                      Products should be returned with the original box and packaging, if still possible, along with any accessories and promotional gifts you received with the product(s). Software can only be returned if the box is sealed and unopened. You must treat all products with reasonable care while they are in your possession.

                      Exceptions to refunds:

                      We may reduce the amount of the refund due to you to take into account any loss in value of the goods resulting from handling of the goods beyond what is necessary to establish their nature, characteristics and functioning, or require you to pay us the corresponding amount.

                      If the products are a special order made to your specifications, you do not have the right to cancel.

                      13. Defects in delivery (short-term right of rejection)

                        We recommend that you inspect your product(s) as soon as possible for any defects or discrepancies (e.g., damaged shipping carton, incorrect product delivered, product is cosmetically damaged (scratches, cracks, dents, etc.)).

                        If the products are delivered in a non-functional or otherwise defective condition, please notify HYPERX in accordance with our "HYPERX Store Returns Policy" on our website as soon as possible, but in any event no later than 30 days after delivery , to exercise your short-term right of return (see Section 10 (Your right to change your mind after dispatch)).

                        Except for promotional items or items included in a bundle (see Section 14 below ), if you reject a product under this Section, you will receive a full refund unless you and HYPERX agree on an alternative solution (e.g., repair or replacement product). You are responsible for returning the products in accordance with our HYPERX Store Return Policy . HYPERX may test the products upon return and charge you for any costs incurred by HYPERX if you have wrongfully claimed that the returned products are non-functional or defective.

                        HYPERX's short-term right of rejection is in addition to, and not in replacement of, the customer's statutory rights of cancellation, the customer's statutory rights in relation to faulty or misdescribed goods or services subject to special conditions (see Section 15 below), or the HYPERX Limited Warranty (see Section 16 below).

                        14. Return of promotional items or items that are part of a package

                          The return of products purchased as part of a special offer or promotion or as part of a bundle may be restricted by certain conditions described in these Terms or otherwise communicated to you.

                          No refund is available for individual products purchased as part of a bundle, but HYPERX will either: (i) replace such individual product or (ii) take back the entire product bundle or order and refund any amounts paid by you.

                          HYPERX reserves the right to refund promotional discounts for other products you have purchased if those discounts were contingent upon the purchase of the product(s) returned to HYPERX.

                          15. Return of defective goods (warranty rights)

                            Consumers have statutory rights if the purchased product(s) do not conform to the contract of sale. These statutory rights are independent of and in addition to the HYPERX Limited Warranty and are not affected by it in any way.

                            HYPERX may test the products after return and charge you for the costs incurred by HYPERX if you wrongfully claim that the returned products are non-functional or defective.

                            16. Manufacturer's Warranty (Limited HYPERX Warranty)

                              HYPERX products are covered by a manufacturer's warranty (HYPERX Limited Warranty). The HYPERX Limited Warranty covers defects in materials and workmanship in the HYPERX product for a period of 6 months to 2 years, depending on the product, as stated in the "Technical Details" section of the product page in the HYPERX Store and in the HYPERX Limited Warranty Statement for your product. The HYPERX Limited Warranty is in addition to, and not in replacement of, the customer's statutory rights with respect to defective or misdescribed goods or services, which are subject to specific terms and conditions.

                              The HYPERX Limited Warranty begins on the date of purchase of the product. If the product is defective, HYPERX will repair or replace the product, or refund the purchase price upon return of the product, at HYPERX's discretion. The HYPERX Limited Warranty covers parts, labor, and return shipping to the repair shop or travel to the repair site for on-site repair.

                              The HYPERX Limited Warranty does not cover damage caused by impact, spills, misuse, exposure of the product to environmental conditions outside of HYPERX specifications, or other external causes specified in the HYPERX Limited Warranty Statement for your product.

                              17. Software Licenses

                                Your use of HYPERX software products is subject to the HYPERX standard license terms. Your use of non-HYPERX software products, and in exceptional cases for some HYPERX software products, may be subject to other license terms provided with those products.

                                In some cases, express acceptance of the software vendor's license terms is a prerequisite for using the software. If you choose not to accept these license terms, and if the product cannot be used for normal purposes without this consent, we can only accept the return of the product if it has not yet been put into operation by you and is returned to us in its original packaging with an unbroken seal.

                                18. E-vouchers

                                  HYPERX may from time to time offer electronic vouchers and other discount codes that can be redeemed in the HYPERX store ("e-vouchers"). E-vouchers are purely discount vouchers. E-vouchers are subject to the specific terms and conditions applicable to the e-voucher, which will be made available to the customer. Any e-voucher to be redeemed in the HYPERX store will be provided to the customer (directly or indirectly) by HYPERX at no additional cost and is non-exchangeable and non-transferable.

                                  19. Consumer arbitration

                                    HP Deutschland GmbH is generally neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

                                    Online Dispute Resolution (ODR Regulation)

                                    The European Commission provides a platform for online dispute resolution (ODR platform) at http://ec.europa.eu/consumers/odr . This web-based platform serves as a central point of contact for consumers who have purchased goods or services online and subsequently experience problems with their purchase. It facilitates the out-of-court settlement of disputes arising from contractual obligations in online sales contracts.

                                    The ODR platform transfers the disputes to so-called alternative dispute resolution bodies (ADR bodies), which are listed in the national lists of ADR bodies and which meet the quality requirements of the ODR Regulation

                                    20. Limitation of Liability

                                      We are liable without limitation for damages resulting from an intentional or grossly negligent breach of duty by HYPERX Deutschland GmbH or an intentional or grossly negligent breach of duty by a legal representative or vicarious agent of HYPERX Deutschland GmbH. Furthermore, we are liable for claims for damages due to injury to life, body, or health, as well as in cases of mandatory statutory liability claims, such as those under the Product Liability Act.

                                      In the event of gross negligence, we shall only be liable for the destruction of data to the extent that you have ensured that this data can be reconstructed with reasonable effort from data material kept in machine-readable form.

                                      In the event of simple negligence, we are only liable for a breach of essential contractual obligations that jeopardizes the purpose of the contract. In this case, compensation is limited in reason and amount to such damages whose occurrence we could reasonably have foreseen at the time of conclusion of the contract, based on the circumstances known to us at that time.

                                      The provisions of this section shall apply accordingly to competing tort claims. Any further liability on our part is excluded.

                                      21. Protection of personal data

                                        If you have provided us with your personal data, we will use that information: (i) to process your order and provide you with products and support; or (ii) in accordance with your consent. We will only collect and use your personal data in accordance with applicable data protection laws and the HYPERX Privacy Policy, which can be found at www.HyperX.com/go/privacy . To exercise your rights of access, rectification, objection, or erasure, please use the "Contact HYPERX Data Protection Office" form, which can be found in the HYPERX Personal Data Rights Notice .

                                        The search box on this website (“Search Box”) is operated by Algolia, Inc. (“Algolia”) and Algolia’s privacy policy (located at https://www.algolia.com/policies/privacy/ ) applies to your use of the Search Box.

                                        22. Other applicable conditions

                                          When you order from HYPERX, HYPERX may communicate with you electronically regarding your order (e.g., by email, text message, or by posting notices on the HYPERX store).

                                          These Terms and the sale of products and services in the HYPERX Store are governed by the laws of the country and place of delivery.

                                          The products and services provided under these Terms are intended for your use only as a consumer; further marketing (e.g., resale or rental for commercial purposes) is not permitted.

                                          HYPERX products are subject to export laws. After delivery of your purchases, you are responsible for compliance with all export regulations when shipping HYPERX products to countries outside the European Union (EU).

                                          Important Notice: If for any reason you do not have access to the terms referenced in these Terms, such as the Privacy Policy or the HYPERX Software License Terms , please contact the HYPERX call center and request a copy. Your order will be governed by the Terms and any additional terms referenced therein in effect at the time you place your order. You should therefore print and retain a copy for your reference.

                                          You may only assert a right of set-off for claims that are either undisputed or legally established. Furthermore, you are only entitled to exercise a right of retention to the extent that your counterclaim is based on the same contractual relationship.

                                          This agreement shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Stuttgart.

                                          Should individual provisions of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining contractual provisions.
